HanseYachts AG delisted from the Frankfurt Stock Exchange

A new era is dawning for German shipyard HanseYachts AG, builder of Hanse, Dehler and Moody sailing yachts, and Sealine, Fjord and Ryck powerboats: the Greifswald-based yard will see its shares delisted from the Frankfurt Stock Exchange at the end of the day on 17 May.

On 14 May 2024, the Frankfurt Stock Exchange informed HanseYachts AG that its shares would be delisted at its request.

This delisting will take effect at the end of 17 May 2024 and the HanseYachts share (ISIN DE000A0KF6M8) will therefore no longer be traded on the regulated market of the Frankfurt Stock Exchange.

HanseYachts will also apply to the regional stock exchanges in Berlin, Düsseldorf, Hamburg, Munich and Stuttgart as well as to the trading platforms Tradegate Exchange and gettex for the HanseYachts shares to no longer be traded on the OTC market as soon as possible, and for existing listings to be discontinued.

The delisting follows HY Beteiligungs GmbH's public tender offer of 10 April 2024, the offer period for which expired on 8 May 2024 and which resulted in HY Beteiligungs GmbH being offered approximately 5.26% of the shares in HanseYachts AG.

After 17 May 2024, all the transparency obligations associated with a listing on a regulated or organised market, such as the ad hoc disclosure obligation and the obligation to prepare half-yearly financial reports and quarterly statements, will no longer apply.

Here's the lowdown - after a rather bumpy ride on the stock market, the German group is being delisted from the Frankfurt stock exchange after restoring its accounts.... but just as the economic situation is getting tougher. The scope of the company's legal reporting and publication obligations has been greatly reduced, and it will now be up to shareholders, funds and banks to support the group's - potential - needs.

HanseYachts buying Bankrupt Dehler

From my perspective this is not exactly great news......(JH) HanseYachts AG has announced today that the preliminary board of creditors at the insolvent Dehler shipyard has agreed to its bid to acquire the traditional Dehler brand. More than 45 years ago, the yacht-builder Willi Dehler not only developed Germany's largest yacht yard of the time - he also realised innovations in the construction and fitting of sailboats which were so revolutionary that they still prevail today. He was also responsible for the fact that the Dehler brand made sailing as a sport affordable and therefore available to a broader public. Nowadays however, it is very difficult for niche producers to maintain production with maximum demands on quality and fittings. Under HanseYachts Group management, the Dehler brand has the opportunity to benefit from the purchasing and manufacturing advantages offered by a large-scale producer. At the plant in Meschede-Freienohl in Sauerland, there are plans to produce mid-size Dehler yachts. Bigger Yachts will be manufactured in a separate production facility in Greifswald. One other aim of the restructuring measures is to develop the Freienohl site as an exhibition and service centre. Its convenient geographic location is ideal for creating Germany's first water sports centre featuring a permanent exhibition of various sail and motor boats, yacht insurance and financing, manufacturers of water sports accessories, sail-makers and other businesses specialising in the area of water sports. This combined concept is expected to create several new jobs.

Jeff, I have no opinion one way or another, but I'd be curious to know why you think this may not be such good news? P.S. I think there was an earlier thread about this same subject. If this discussion develops much further, you might consider combining it with the earlier thread.

Totally agree with Jeff, that this might not be such a great thing. Personally I was hoping that Dehler could have existed as "its own" and continued creating innovative sail boats, instead of being a brand of Hanse. Like Moody we might see that this is going to be rebranded Hanse's with different interiors/looks. Not that Hanse is a bad builder, but it is a mass product, whereas Dehler created something better IMnsHO!  

Dehler has always been a real favorite of mine. They were a company that seemed to understand how to balance good performance, world class designers, high build quality with workable, seamanlike interiors. The were thoughtful boats for people who were looking for clever designs. In some ways, Dehler is what I wish J-boats could be. In many ways I liked the first Hanse's that I encountered perhaps 6-7 years ago, nice layouts and very good build quality. But lately they have seemingly taken a very strange tack, producing boats with very ideosycratric, almost anti-functional, layouts that do not seem as well thought out. Similarly their deck layouts have seemingly gotten dumbed down and less sailing oriented as well. My fear is that Hanse will take Dehler and change it into a some numb brand from its currently high level of sophistication. Jeff

TD, That Dehler is local, at least for me. I will be down at that dealer tomorrow picking up a sail and could check it out, if you are really serious about it. Even get you whom to talk to etc. Marty  

Marty, How do I put this ! I am kind of just short of serious. Reality is for me that during the current curfuffle (globally financially speaking) the Oz dollar went from near parity with the USD down to less than 60c US but is now heading back up. It is currently at 73c US and basically if it gets past 80c then serious I am. In short...right at this moment she is beyond my means. If you are close by and can cast a quick eye over her I'd love to hear your report but it's a little early to get the sellers hopes up. I really don't like wasting other people's time and of course I also have to come to grips with the reality of getting a US boat back to Oz. Nonetheless I do find it interesting that at sub USD200,000 she is still for sail having been on the market for over six months now, maybe even twelve. The other one , the Brewer is USD$165,000 and is also a fine looking boat. Given my yen to cruise in colder climates I am attracted to PHs but you don't see many down here of that quality. JH...apologies for the hijack....  

Greetings, In the interest of full disclosure: I am the US representative of Dehler, so I'm close to this and more than a little partial. I'll try to keep the borderline ad stuff to a minimum. I appreciate all the supportive words that are floating around Sailnet and a few other (mostly European) board, and thanks to Jeff_H for his perspective (speaking as a long-time lurker, he seems to know his stuff). I thought I might ring in to add some additional perspective and groundless speculation. This is big, exciting news in Dehlerland, and almost all the balls are still in the air. We're working on a ton of details, so until some of the questions are settled, there's still some guessing on with respect to integrating the company with the Hanse family. As Jeff eluded, this can really only take one of two directions, one quite positive and one not-so-good. Without getting bleary-eyed, Dehlers are special boats in a lot of ways, and it extends from concept to execution. As long as Hanse doesn't mess with that, aligning with a large builder with an equally-large support structure makes a lot of sense. From this point of view, we're excited. We (we being the international Dehler reps) had a conference with Hanse's president, Michael Schmidt, immediately following the news, and all indications were this is going in a good direction. Dehler is a really "independent" company, and the goal appears to be to maintain that, while improving purchasing and distribution muscle. We'll have a better feel for the actual structure in and when production will restart over the next week or so. I won't go into the back-story of what's occurred between Dehler's insolvency in mid-December and today, but there's a good story in there somewhere. Watch for my book, "Losing Ten Years of Life Expectancy in Four Easy Months," coming soon. The juicy part is that while we've been courting two suitors and supportive of the concept of becoming part of a larger builder (we had essentially made a decision), Hanse came in at the 11th hour to steal the show. 'Turns out they were as surprised as anyone else. Interesting times. If anyone's still interested, there is a US-specific release, which also points to the original Hanse announcement that Jeff_H quoted at the top of the thread, on the Dehler US website (DEHLER -dot- US... silly, I don't have enough SN posts to include a link). Jeff, Is Marine Servicenter still going to be a dealer in Puget sound if things go well? or does it depend upon a few things a client should not know?!?!?! How much to ship/transport Fuzzy Logic to Seattle approx? marty ps, Wombat, I did not get aboard the DS41 the other day, showed up in work boats, wet/dirty rubber rain gear etc, did not even ask, or try to get aboard! I knew the answer before asking!  

Hi Marty, There's a lot of stuff that's up in the air, and we're all looking for synergies between our little Dehler team and the Hanse guys. These are two very different builders; there's a whole different mindset on the buying/marketing/sales/support side of things, and a right way or a wrong way. Or so I've led myself to believe. We'll see what fits and what doesn't, but I don't want to start/feed rumors, or make any unfounded claims until we know for sure. My short view on MSC... I hope so. The last boat I was involved in shipping from Chicago to the west coast (a D39) cost about $6000, a few years ago. Price of fuel and other expenses have varied since then, but that's as good of a conservative estimate as any. Maybe someone else here has had a more recent experience? Jeff

The Hanse Group, a heavyweight in the German yachting industry, has announced a reorganisation of its debt and an opening of capital. Financial operations aimed at strengthening the group in a yachting market disrupted in the long term by the Covid-19 pandemic.

3 steps of financial restructuring for Hanse

HanseYachts AG has announced a reorganization of its financial structure in 3 steps. After a first milestone on 7 September 2020 by obtaining new financial commitments, in particular through the guarantee of the Land of Mecklenburg-Vorpommern, the operation will in a second step lead to the repayment of existing loans through the issue of new shares in the form of a capital increase by contribution in kind. The final stage will consist of the possibility for small holders to acquire new shares at the price fixed for contributions in kind.

HanseYachts has benefited from public loans and support in the various European countries where the group is established for the production of its boats of the brands Hanse, Dehler, Moody, Privilège Catamarans, Fjord and Sealine. In addition to a loan on market terms of 17.1 million euros, the "corona cushion" was extended by 13 million euros with a 90% guarantee from the Land of Mecklenburg-Vorpommern. 2.6 million euros were also borrowed in France and Poland. Today, I start to present models from Germany, this time, The Hanse Yacht Building Company.

The sources of the success of HANSE yachts which include ultra-modern developments, originate in Wedel at the Elbe. In 1981, times were changing and Michael Schmidt had to make a major investment into the insolvent Schwarz shipyard. Motor yachts had been built there. Sailing yachts were to be the future of this yard.

Rolf Vrolijk, the designer of the America’s Cup winner “Alinghi” and now one of today’s most successful yacht designers in the world, was still at the beginning of his career. He, as well as Wilfried Reiners were assigned to design and build a boat in Wedel for the Admiral’s Cup which was sponsored by the Düsseldorf exhibition. This project determined the future. The big bang of Hanse’s history was the HANSE 291. This boat was an unbeatable offer which caused great fuss and excitement comparable to that of a big bang. That was in the summer of 1993. All workers of the old shipyard in Greifswald were unemployed and coincidentally in Sweden, Karl Baier, the builder and owner of all of the rights to the “Aphrodite 291” was willing to sell and Michael Schmidt bought the tooling and name.

Now it was time to take the chance: the shipyard together with the Swedish boat builder Bent Elgaard, was ready to take-off. After four weeks of taking up the work in Greifswald, the HANSE 291 was exhibited at the “hanseboot” as a best buy offer of only 44.444 Deutsche Mark. There was symbolically a big hammer hanging above the yacht so that obviously there was something special going on at this exhibition booth. The HANSE 291 offered all the basics of a sailing boat: good sailing features, auxiliary engine, bunks, pantry, and pump toilet. Being so well equipped for the price, the boat gripped the hearts of sailors and Michael Schmidt drew up thirty contracts at the show. From then on the motto was “Evolution instead of Revolution”. The HANSE 291 was developing from the experience of its owners and the shipyard evolving into the HANSE 292 and 301.

This one, Hanse 355 has a LOA of 10.59 m, a Beam of 3.55 m, a Draft of 1.92 and a Displacement of 6.36 t. The one above, the 325, has a LOA of 9.63 m, a Beam of 3.30 m, a Draft of 1.83 m and a Displacement of 5.2 t.

The 385 model has a LOA of 11.40 m, a Beam of 3.88 m, a Draft of 1.99 m, and a Displacement of 7.6 t.

The Hanse 545 has a LOA of 16.20 m / 53’9″, a LWL of 14.60 m / 52’10”, the beam of 4.91 m / 16’1″, the draft of 2.80 m / 9’2″, a displacement of ~18.7 t. An approximate price in USD is 350,000 for the newborn.

The 630e is a high luxury item, counting the prices requested by some brokers. I’ve seen a 900,000 Euros quotation and I’ve seen a 770,000 Euros quotation, for the same year, 2011. One can easily estimate it at around 700,000 Euros.

Silent-Yachts to go ahead with restructuring amid bankruptcy rumours

Austrian builder Silent-Yachts is having to undergo a restructuring phase following the discontinuation of a key subcontractor, which had been responsible for a "significant portion" of the yard's solar catamarans. However, subsequent reports from Austrian newspaper Kleine Zeitung suggested the yard's parent company, Asap Trading, is now facing insolvency with an accumulated debt of €45.8 million, throwing the future of Silent-Yachts into contention.

Since its founding in 1990, HanseYachts AG – which now encompasses  six brands  – has become one of the biggest manufacturers of seagoing, series-produced  sailing yachts  and  motor yachts . HanseYachts AG went public in 2007 (General Standard); around 23.23% of its shares are currently freely traded. In 2011, Munich-based Aurelius AG became the majority shareholder and currently holds around 76.77% of issued shares.

In the market for recreational motor yachts, the company is now among the top 10 providers worldwide. Production takes place at the two locations in Greifswald (Germany) and Goleniów (Poland).

Direct access to the Baltic Sea

Direct access to the Baltic Sea allows HanseYachts AG to test its range of sailing yachts and motor yachts under real-life conditions. Each new product undergoes extensive testing before being placed on the market. These test results are instantly and directly incorporated in ongoing product development. New materials and components are tested on water, not just under laboratory conditions.

Some customers travel all the way to the shipyard itself to pick up their new yacht before sailing back home, wherever that may be in the world. A crane carefully positions the sailing yachts, motor yachts on the water for the first time after they leave the production halls. For sailing yachts, the mast is set and all the rigging is installed on site.

Own production sites

Our own production sites enable fast response times and highly efficient manufacturing. The entire GRP production is carried out to the highest standards of craftsmanship by experienced specialists. The production process ranges from the lamination of small parts and the fabrication of hulls using the laying-by-hand technique to weight-optimised vacuum infusion for specialised yacht types.

At HanseYachts AG's headquarters in Greifswald (Germany), all wood and interior components are manufactured in-house. Ultra-modern state-of-the-art equipment featuring CNC milling machines ensures that the parts get cut to the exact millimetre. Highly trained specialists assemble the furniture by hand. The final assembly of the sailing and motor yachts gets carried out in a most cost-effective manner on the production lines.

The production site in Poland The beginnings of the Polish branch date back to 1995 - initially under the name Technologie Tworzyw Sztucznych (TTS) . Since then, yacht construction elements such as hulls, decks and floors have been manufactured here. In 2006, the company joined the HanseYachts capital group. The steadily increasing demand for the products led to the factory being moved to a new location in the Goleniów Industrial Park in Łozienica in 2008. A specially adapted, modern production hall for the manufacture of laminates was built there. As a result, our employees work under safe conditions and at the same time protect the environment.  The last few years of our work have been characterised by continuous development. Two warehouses were built in Łozienica, a laboratory and a design studio were expanded.

In 2015 and 2021, we also built two more production halls, where the assembly work for the final finishing of the yachts ready for sale is carried out.  Currently, we offer lamination, yacht fittings as well as the assembly of water, electrical and gas installations, engines, navigation and steering equipment and other equipment required for a yacht. Currently, six yacht models of the Dehler, SEALINE and RYCK brands are manufactured entirely in Łozienica. This means that they can be delivered directly from there to the customer or dealer. The dynamic development and the great interest in the products lead, among other things, to a significant increase in jobs. 

The year 2022 marks another milestone: as a long-standing member of HanseYachts AG, the company name was changed to HanseYachts Sp. z o. o. to underline its affiliation to the group.

Own development locations

One of HanseYachts AG’s biggest strengths is that we have our own development team as well as our own model and mould construction team. A team comprising 40 designers, engineers and technicians, all of whom are consummate masters in their fields and possess many years of experience. Our teams work alongside renowned yacht designers to create  sailing yachts  and  motor yachts  with a focus on quality and function – from the interior fittings and deck layout to the engine and air-conditioning system. Two in-house, five-axle CNC mills turn our virtual models into reality and are capable of machining components measuring up to 6 by 16 metres. High quality yacht-building starts by only using the best tools.

As a new design and development centre, the Baltic Design Institute in Szczecin complements the development department at HanseYachts AG's headquarters and offers additional expertise in the sectors of yacht design and structural dimensioning. The team of highly qualified employees has many years of international professional experience in yacht design as well as in the marine industry. The close cooperation of all development instances enables the creation of new, forward-looking products.

In addition to the components that we produce in-house, we also enlist the services of premium suppliers. We use engines from Volvo, Yanmar and Mercury; navigation electronics from B&G, Garmin and Raymarine; sails from Elvström and Quantum; heating systems from Eberspächer and Webasto; masts from Seldén and Z Spars; fittings from Harken and Lewmar; and running rigging from Liros. When HanseYachts AG selects its suppliers, three factors are non-negotiable: high quality, reliable deliveries with consistent quality and comprehensive after-sales service for end customers.
